Governing language. This English text is provided for your convenience. Activación Web is a Mexican company and the Spanish version of these Terms is the governing text. Where the two versions differ, the Spanish version prevails.
1. Acceptance
By contracting any service with Activación Web you accept these Terms of Service in full. If you disagree with any point, please do not contract the service.
2. Services offered
Activación Web provides professional services in:
- Custom software development (web, mobile, backend).
- Cloud infrastructure on AWS and Google Cloud Platform, or on our own servers in US and Mexican datacenters.
- Applied artificial intelligence and process automation.
- Full-service digital marketing (SEO, SEM, email, CRM, analytics).
- Technology consulting and operational diagnosis.
Each service is governed by a specific proposal and/or contract detailing scope, deliverables, timelines and costs.
3. Quotation and proposal
The initial diagnostic visit or meeting is free of charge and without obligation. Any commercial proposal is valid for 30 calendar days unless otherwise stated in writing.
4. Payment and invoicing
- We work with a deposit of 40-50% at project start, with the balance released against deliverables.
- Recurring services (hosting, support, retainers) are invoiced monthly or annually as per contract.
- We issue CFDI 4.0 invoices in accordance with Mexican tax law.
- Prices are stated in Mexican pesos (MXN) or US dollars (USD) as specified. They exclude VAT unless expressly stated.
- Late payments accrue interest at 3% per month and may result in service suspension.
5. Timelines and deliverables
We meet the timelines agreed in each proposal. Any delay attributable to the client — missing information, pending approvals, scope changes — extends the timeline by an equivalent period. We notify any deviation in writing.
6. Intellectual property
- Source code, designs and custom deliverables are the property of the client once the total agreed amount has been settled.
- Activación Web retains ownership of its internal libraries, recurring-use frameworks and productivity tools.
- Trademarks, logos and materials the client shares with us remain the client's property.
- We may refer to the client as a success story in our portfolio unless confidentiality is expressly requested.
7. Confidentiality
All commercial, technical, financial and operational information the client shares with us is treated as confidential indefinitely. We sign a specific NDA whenever the client requests one.
8. Warranty and support
- We warrant deliverables against defects for 30 calendar days following final delivery.
- Support and maintenance plans are contracted separately and include a specific SLA.
- We do not cover failures arising from third-party modifications, misuse, client hardware or external services outside our control.
9. Limitation of liability
Activación Web's maximum liability to the client, for any cause, shall not exceed the amount actually paid for the service in question during the12 months preceding the event giving rise to the claim. We are not liable for indirect damages, loss of profit or data loss attributable to force majeure or third-party services.
10. Cancellation and termination
Either party may terminate the contract with 30 days' written notice. The client pays for services rendered up to the termination date; unearned deposits are refundable unless expressly stated otherwise.
11. Personal data
The processing of personal data is governed by ourPrivacy Policy, which forms an integral part of these Terms.
12. Governing law and jurisdiction
These Terms are governed by Mexican federal law. For any dispute, the parties submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction that might otherwise apply. If your organisation requires a different governing law or dispute-resolution mechanism, raise it before signing and we will discuss it as part of the contract.
13. Amendments
Any change to these Terms will be published on this page with the corresponding update date. Changes do not apply retroactively to contracts already signed.
